This Terms of Service Agreement (the "Agreement") controls your access and use of any of the various services (the "Services”) made available to you (the "Member") by Ralphitech, LLC (“Company”) through our mobile application Planwyze (the “App”). ONLY USERS WHO ARE 18 YEARS OF AGE OR OLDER MAY REGISTER TO USE THE SERVICE. By accessing the services and/or completing the registration process for Planwyze (the "App"), you represent that you are 18 years of age or older, and can and will be legally bound by this Agreement. When you create an account on Planwyze (the "App"), we will ask you to agree with our Privacy Policy.
Our Services
Planwyze offers a platform (the "Service") that connects you with others, and express yourself while exploring places around you. All services in the App are provided to you for free. This includes a list of all the (Schools, Restaurants, Bars, Clubs) within a few miles from your area, the possibility to see who is at any of the aforementioned places and chat with them (other "Member").
The content you can access on Planwyze are derived from three types:
1. Content provided to you by Planwyze ("Our Content")
2. Content that you upload and provide ("Your Content")
3. Content that other members provide ("Member Content")
Our Content
Planwyze grants you a non-exclusive, worldwide, royalty-free, non-assignable, non-tranferable, revocable, and non-sublicensable license to access and use the Service. This license is for the sole purpose of letting you use and enjoy the Service’s benefits as intended by Planwyze and permitted by this Agreement.
Therefore, you agree not to:
1. Use Our Content and Service for unlawful purposes
2. Use Our Content and Service for any commercial purposes without our written consent
3. Use the Service in any way that could interfere with, disrupt, or negatively affect the Service or the servers or networks connected to the Service
4. Create derivative works from Our Content
5. Promote any activity that violates this Agreement
The Company may investigate and take any available legal action in response to illegal and/ or unauthorized uses of the Service, including termination of your Account.
Your Content
As Planwyze is a public platform, Your Content will be visible to other users of the Service all aroud the world. We ("Planwyze") strongly urge you to make sure you are comfortable sharing Your content before making it avaible on our platform. Thus, you agree that Your content may be viewed by other users and any person visiting the platform. By uploading Your content on Planwyze, you represent and warrant to us that you have all necessary rights and licences to do so, and automatically grant us a non-exlusive, royalty free, perpetual, worldwide licence to use Your Content in any way (including without limitation, editing, copying, modifying, translating, reformatting, advertising, distributing and otherwise making available to the general public such Content, whether in a whole or in part and in any format or medium currently knowned or developed in the future.)
Member Content
Member Content belongs to the user who posted/uploaded the content that is diplayed on the platform. The sole purpose of the member Content is for you ("the Member") to use to the extent your use of it matches Planwyze's purpose of allowing people to meet and reach to one another. You may not use other users' information for commercial, to spam, to harass, to create fake accounts, or to make unlawful threats. We reserve the right to terminate you Account if you misuse other users' information.
If you have any complaint about a user's Content, please report the user so we can investigate and take necessary action towards the matter. We ("Planwyze") take these cases very seriously.
Privacy
For information on how Planwyze collects, uses and shares your personal data, please check out our Privacy Policy - We take your privacy very seriously, we urge you to read the entirety of it (the "Privacy Policy"). By using Planwyze, you (the "Member") agree that we can use such data ("Your Content") in accordance with our Privacy Policy.
Push Notifications
We may provide you with push notifications, alerts, and other messages related to the App and/or the Planwyze services, such as enhancements, offers, products, events, and other promotions. After downloading the App, you will be asked to accept or deny push notifications/alerts. If you deny, you will not receive any push notifications/alerts. If you accept, push notifications/alerts will be automatically sent to you. In the event that you no longer wish to receive push notifications/alerts from the App, you may opt out by going to the notification settings on your mobile device. The App may allow access to or make available opportunities for you to view certain content and receive other products, services and/or other materials based on your location. To make these opportunities available to you, the App will determine your location using one or more reference points, such as GPS, Bluetooth and/or software within your mobile device. If you have set your mobile device to disable GPS, Bluetooth or other location determining software or do not authorize the App to access your location data, you will not be able to access such location-specific content, products, services and materials. Promotions
Occasionally we may offer you the chance to participate in special promotions through the App. Special promotions may be governed by separate terms and conditions. If the provisions of a special promotion’s terms and conditions conflict with these Terms, those separate terms and conditions shall prevail.
Termination
We may adjust these Terms from time to time. You will be notified of any material changes in these Terms via the App. Before the new Terms will come into effect you will have to accept them. If you do not agree to the new Terms, this unfortunately means that you will have to stop using your account. The new Terms will replace any foregoing agreements between Planwyze and its Users.
Disclaimers
PLANWYZE PROVIDES THE SERVICE TO YOU “AS IS” AND “AS AVAILABLE” BASIS. TO THE EXTENT PERMITTED BY APPLICABLE LAW, GRANTS NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE WITH RESPECT TO THE SERVICE (INCLUDING ALL CONTENT CONTAINED THEREIN), INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF SATISFACTORY QUALITY, MERCHANTABILITY. PLANWYZE DOES NOT REPRESENT OR WARRANT THAT (A) THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR FREE, (B) ANY DEFECTS OR ERRORS IN THE SERVICE WILL BE CORRECTED, OR (C) THAT ANY CONTENT OR INFORMATION YOU OBTAIN ON OR THROUGH THE SERVICE WILL BE ACCURATE.
PLANWYZE TAKES NO RESPONSIBILITY FOR ANY CONTENT THAT YOU OR ANOTHER USER SENDS OR RECEIVES THROUGH THE SERVICE. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS ACCESSED AT YOUR OWN DISCRETION AND RISK
PLANWYZE DISCLAIMS AND TAKES NO RESPONSIBILITY FOR ANY CONDUCT OF YOU OR ANY OTHER USER, ON OR OFF THE SERVICE
